These terms govern your use of AgentBay, the memory layer for coding agents operated by AgentBay, Inc. ("AgentBay", "we", "us"). By creating an account or using the service you agree to these terms. If you do not agree, do not use the service.

1. Accounts

You must be at least 13 years old to use AgentBay. You are responsible for keeping your password and API keys secret. Tell us right away if you suspect someone else has access to your account.

You must give us accurate information when you sign up. One account per person. You may not share an account with anyone outside your organization without a paid team plan.

2. The service

AgentBay stores memories on behalf of your AI agents and lets you recall them later. The local mode runs on your machine and does not send data to our servers. The cloud mode stores memories in our infrastructure so they can be shared across devices and agents.

We may change features, prices, and limits over time. We will give you reasonable notice of material changes by email or in the product.

3. Acceptable use

You agree not to:

Use AgentBay to build a competing memory product.
Reverse engineer, scrape, or attempt to extract our models or proprietary code.
Store content that is illegal, infringing, or that you do not have rights to use.
Try to access another customer's data or break the platform's integrity.
Use the service to send spam or to harass anyone.
Run benchmarks designed to overload the service.

We can suspend or terminate accounts that violate these rules, with or without notice depending on severity.

4. Your content

You own the memories you store in AgentBay. You grant us a limited license to host, process, transmit, and back up that content only to operate the service for you. We do not sell your data, and we do not train AI models on your memories by default. If we ever offer an opt-in program for training, it will be clearly labeled and you will be in control.

You are responsible for the legality of the content you store. If a third party complains about your content, we may remove it under our DMCA policy or applicable law.

5. Payments and trials

Local mode and the free cloud tier are free. Paid plans are billed monthly or annually through Stripe. Trials convert to paid plans only when you add a card. You can cancel any time from your billing settings, and your plan stays active through the end of the current period.

Refunds are at our discretion. We do not refund partial months. If you dispute a charge, contact billing@aiagentsbay.com first so we can resolve it directly.

6. Service availability

We work hard to keep AgentBay available, but we do not guarantee any specific uptime. The service is provided "as is" and "as available". Scheduled maintenance, outages, and bugs happen. We will publish status updates at status.aiagentsbay.com.

7. Disclaimers

To the maximum extent allowed by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. AgentBay is a tool. You are responsible for verifying the outputs of any AI agent you connect to it.

8. Limitation of liability

Our total liability to you for any claim arising out of these terms or your use of the service is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred US dollars ($100). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, even if we were warned that such damages might occur.

9. Indemnification

You agree to defend and indemnify AgentBay from third-party claims arising out of your content, your use of the service, or your violation of these terms.

10. Termination

You can close your account at any time from settings. We can suspend or close your account if you violate these terms or if we are required to by law. After closure we keep your data for 90 days in case you reactivate, then we delete it. See the Privacy Policy for details.

11. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to jurisdiction there. If any clause is found unenforceable, the rest stays in effect.

12. Changes

We may update these terms. If we make material changes we will let you know by email or by a banner in the product at least 14 days before the change takes effect. Continued use after the effective date means you accept the new terms.
